Terms and Conditions



Definitions

The "Buyer" or "Subscriber" means the customer who subscribes to use the website features and data. The "Seller" means Radioreference UK.

"Conditions" means the conditions of subscription set out in this document and any special and/or additional conditions agreed in writing by the Seller.

"Data" means the data output by the Radioreference UK website which includes that shown on screen and that available to download.

"Subscription" means access to login to the website to access, download or view data for 1 calendar year from the date of subscription.

"Active Subscription" means a payment which is set to renew anually and renewal has not been cancelled.

"Writing" includes facsimile transmission, email and other comparable means of communication.

"Including" and "In particular" shall be construed as not limiting any general words or expressions in conjunction with which either of those expressions is used.

Conditions

These conditions shall apply to all contracts for subscription to the Subscriber to the exclusion of all other terms and conditions including any which the Subscriber may purport to apply under any purchase order, confirmation of order or any such similar document.

No variation or addition to these Conditions shall be effective unless agreed in Writing by the Seller.

The Seller's employees or agents are not authorised to make any representations concerning the subscription unless confirmed by the Seller in Writing and in entering into the contract the Subscriber acknowledges that it does not rely on any such representations which are not so confirmed.

Any typographical, clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by the Seller shall be subject to correction without any liability on the part of the Seller and without any prior notification. The views and opinions expressed in any sales literature or on the Seller's web-site are the views of the contributors and should not be taken necessarily as fact.

No contract for the Subscription shall arise until the Seller activates the Subscribers Subscription, the Seller shall inform the Subscriber by email when the subscription has been activated.

Payment for a Subscription shall be conclusive evidence of the Subscriber's acceptance of these Conditions. Nothing in these Conditions shall effect the statutory rights of any Subscriber.

Prices

The price shall be that on the Seller's current list price or as otherwise agreed in writing by the Seller and the Subscriber should confirm prices (including any promotional prices and special offers) at the time of ordering. All special offers are strictly subject to availability.

The Seller reserves the right to revise prices prior to subscription to reflect any indirect or direct increase in costs to the Seller but if the price has been paid in full prior to dispatch no price revision may take place without the prior written agreement of the Subscriber.

The prices of subscriptions are shown are the total to be paid. From time to time we may modify the prices charged on our website and current catalogue. Website pricing may differ to sales literature pricing.

Payment

Payment must be made in full before you can use the subscription features. Before paying the website operates in a Guest mode which allows limited data to viewed. Payment must be made by Paypal, Paypal accept most most popular credit and debit cards. Receipts for payment are automatically emailed by Paypal.

Ownership & Data Usage

The Data sold by the Seller is based on opendata from sources such as the Ofcom Wireless Telegraphy Register, other data freely available on the internet and subscriber submissions. the Seller cannot guarantee the data is 100% accurate, any incorrect Data can be reported by subscribers for correction.

The Seller owns the Data and the Copyright for the Data produced, any Data printed or downloaded remains the property of the Seller. The subscriber agrees to:-

  • 1. Not resell the Data in any form.
  • 2. Not re-distribute the Data in any form.
  • 3. Not publish the Data in any form.
  • 4. Not share login information such as usernames or passwords.
  • 5. Not run automated scripts to access Data.
  • 6. Not use the Data for any Commercial or Business use.
  • 7. Use the Data only for personal use.

Subscibers that do not comply the with data usage terms will have their account terminated without refund.

Subscribers that misuse their accounts may also:-

  • Have access limits imposed
  • Have limits on downloads applied
  • Be denied access to new features that were not available at the start of their subscription

Warranties & Liabilities

Subject to the conditions set out on this page the Seller warrants that the subscriber shall have access to the Data for 1 calendar year from the data of payment providing the terms are adhered to.

A breach of any of the conditions listed shall result in immediate termination of the subscribers account and no refund shall be given.

The subscription includes the services listed on the date of subscription, we reserve the right to charge for new services and features not included at the time of subscription by offering these as an optiional purchase. Where new services are added with no charge we reserve the right to restrict subscribers from using these new services if they misuse or have previously misused their account or do not have an Active Subscription.

The Seller shall be under no liability in respect of any error in the Data.

The Seller shall not be under liability in respect of any misuse or alteration of the Data.

The Seller shall be under no liability under the above warranty if the subscription has not been paid in full.

The Seller shall not be held responsible for any incompatibility issues or held liable to the Subscriber by reason of any representation (unless fraudulent) or any implied warranty, condition, or other term or any duty at common law or under the express terms of the contract, for any indirect, special or consequential loss or damage, costs, expenses or other claims for compensation whatsoever (whether caused by negligence of the Seller, its employees or agents or otherwise) which arise out of or in connection with the supply of the Data or their use by the Subscriber including, without limitation, losses or damages of the types listed below:-

  • 1. Loss of profit; and/or
  • 2. Loss of anticipated savings.
  • 3. Loss of business and/or goods; and/or
  • 4. Loss of revenue; and/or
  • 5. Loss of contract; and/or
  • 6. Loss of goodwill; and/or
  • 7. Loss of use; and/or
  • 8. Loss and/or corruption of data and/or other information; and/or
  • 9. Downtime; and/or
  • 10. Any damage relating to the procurement by you of any substitute equipment.
The entire liability of the Seller under or in connection with the subscription contract shall not exceed the price of the Subscription, except as expressly provided in these Conditions.

Cancellations

Subscriptions paid are non-refundable under any circumstances.

You may cancel your subscription and request deletion of your account at any time but no refund shall be issued.

If you forgot to cancel a renewal and the renewal payment is completed we will provide a refund minus a £1 admin fee providing you notify us within 24 hours of the payment being made and have not used the account since the payment was made.

Cancellation of unused accounts shall be at our discretion and shall incur a £1 admin fee.

Duplicate payments will be refunded minus a £1 per transaction admin fee.

We reserve the right to cancel a subscription at any time if the Subscriber breaches any of the terms & conditions agreed to.

Force Majeure

The Seller shall not be liable to the Subscriber or be deemed to be in breach of the contract by reason of any delay in performing or any failure to perform any of the Seller's obligations in respect of the Subscription, if the delay or failure was due to any cause beyond the Seller's reasonable control. Without prejudice to the generality of the foregoing, the following shall be regarded as causes beyond the Seller's reasonable control:

  • 1. Act of God, explosion, flood, tempest, fire or accident;
  • 2. War, threat of war, sabotage, insurrection, civil disturbance or requisition;
  • 3. Acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority;
  • 4. Import or export regulations or embargoes;
  • 5. Strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of the Seller or of a third party);
  • 6. Difficulty in obtaining materials, labour or machinery; and
  • 7. Power failure or breakdown in machinery.
  • 8. Inclement weather.
  • 9. Denial of service attacks.

General Terms

The Seller's failure to insist upon strict performance of any provision of these Conditions shall not be deemed a waiver of its rights or remedies in respect of any present or future default of the Subscriber in performance or compliance with any of these Conditions.

Any notice required or permitted to be given by either party to the other under these Conditions shall be in Writing.

If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provision of these Conditions and the remainder of the provision in question shall not be affected.

In the event of a dispute between the Subscriber and the Seller, should the Seller in writing require, the Subscriber agrees to submit to the jurisdiction in accordance with the Arbitration Act 1996 for the time being in force as a legally binding alternative to court action.

The contract shall be governed by the laws of England and the Subscriber agrees to submit to the non-exclusive jurisdiction of the English courts.
